Our client, a government-backed national enterprise support organisation, is seeking a Company Secretary to join its senior leadership team. The organisation supports Irish businesses through talent development, innovation, and workforce initiatives, working closely with industry, public stakeholders, and European programs.
Reporting to the Chairperson, this senior governance role supports a Board of 13 Non-Executive Directors and three Committees, ensuring compliance with the Companies Act 2014, the Code of Practice for the Governance of State Bodies, and other statutory obligations.
Key Responsibilities:
- Support Board and Committee operations, including agendas, meetings, minutes, and communication of decisions.
- Lead induction and offboarding of directors, and coordinate mentoring and development.
- Ensure corporate governance compliance, manage statutory filings, CRO returns, Ethics in Public Office submissions, and Board evaluations.
- Maintain statutory registers, governance policies, and Board portal; act as signatory on agreements and EU project documentation.
- Collaborate on the Annual Report and act as custodian of the company seal.
Candidate Profile:
- 10+ years’ professional experience, including 5+ years in company secretarial roles.
- Chartered Governance Institute qualification (or in progress).
- Strong knowledge of Irish governance legislation, regulatory compliance, and public or semi-state sector experience.
- Proficiency with iBabs/Board management systems, Microsoft Office 365, Teams, and Adobe Acrobat.
- Excellent minute-taking, organisational, administrative, and communication skills, with discretion and judgment to operate at Board level.
